Overview
We are seeking a talented and experienced Corporate Paralegal to help provide legal services on a variety of corporate and securities matters. Successful candidates will be able to juggle competing priorities and be extremely responsive in a fast-paced environment. A proactive individual with strong organizational skills and a keen sense of judgment will excel in this role.
Responsibilities
- Drafting minutes, consents, officer certificates, and related basic corporate documents
- Managing entity formation and maintenance, including state and local filings and business licenses
- Prepare statutory filings, including director resignations/appointments and change of address
- Calendar and track statutory compliance obligations
- Update and maintain organizational charts and prepare periodic reports for internal business teams, ensuring accuracy and timely distribution
- Manage relationships with registered agents and external counsel
- Work closely with other members of the team, including finance and tax functions, to fulfill compliance and corporate governance requirements
- Support broader corporate legal team on other matters, which may include stock matters, M&A, immigration, capital markets, and other projects
- Assist with preparation of SEC filings
- Identify opportunities to streamline processes within the department
- Manage legal accruals and billing
- Prepare and circulate litigation hold notices
- General administrative tasks for the department
- Maintaining and administering the Legal Team’s files on Sharepoint and in IronClad
- Support due diligence and KYC (know your customer) requests
- Process DocuSign requests and ensure compliance with signature approval policy
- Coordinate notarization and apostille of documents as required
Required
- 3+ years of experience in a similar role
- Paralegal certificate or Bachelor’s Degree
- High ethical standards and the ability to maintain discretion and confidentiality
- Self-starter, proactive, detail and deadline oriented
- A positive, ‘can-do’ outlook, a sense of excitement to learn and contribute to the team’s goals, and a willingness to roll up their sleeves and get the job done.
Desired
- Experience working in-house in a fast-paced environment
- Familiarity with IronClad, Microsoft suite (including SharePoint) and Google apps
- Experience at publicly-traded companies supporting SEC reporting
- Experience supporting litigation intake, including responses to subpoenas and litigation holds
- Strong preference for candidates located near one of our California offices (Santa Cruz, San Carlos or Marina) with ability to work on site 1-2 days per week
- Notary commission desirable
Additional Information
Compensation at Joby is a combination of base pay and Restricted Stock Units (RSUs). The target base pay for this position is $85,300 - $136,200 per year salary. The compensation package will be determined by job-related knowledge, skills, and experience.
